Terms of Service

1. Acceptance of Terms

By accessing or using VIXSOUND (the "Service"), including the desktop application, website (vixsound.com), and API, you agree to be bound by these Terms of Service ("Terms"). The Service is operated by Vesta Creative Innovations LLC ("VIXSOUND," "we," "our," or "us"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

VIXSOUND is an AI-powered music production assistant that integrates with digital audio workstations (DAWs) such as Ableton Live. The Service provides AI chat, MIDI generation, stem separation, audio analysis, instrument search, and other music production tools through a desktop application and supporting web services.

3. Account Registration

You must create an account to use VIXSOUND. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information during registration and keep it updated. You must be at least 13 years old (or 16 in the European Economic Area) to create an account.

4. Subscription Plans & Billing

VIXSOUND offers paid subscription plans with monthly or annual billing and monthly credit allocations. All plans include a 7-day free trial. By subscribing, you authorize us to charge your payment method on a recurring basis through our payment processor, Stripe.

• Credits reset at the beginning of each billing cycle and do not roll over
• You may enable extra usage beyond your plan limit at an additional per-credit cost, with a monthly spending cap you control
• You can cancel your subscription at any time through the Stripe billing portal or from within the app
• Upon cancellation, you retain access to the Service until the end of your current billing period
• Refunds are available within 7 days of a charge — contact us at hello@vixsound.com
• We reserve the right to change pricing with 30 days' notice; existing subscribers keep their rate until the end of their current billing cycle

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to reverse-engineer, decompile, or disassemble the software
• Share your account credentials with others or allow multiple users on a single account
• Circumvent credit limits, rate limits, or other usage restrictions
• Use automated scripts or bots to interact with the Service
• Upload content that infringes on intellectual property rights
• Interfere with or disrupt the Service or its infrastructure
• Resell, sublicense, or redistribute the software without our written consent

6. Ownership of Your Music

You Own Everything You Create

You retain full, exclusive ownership of all music, audio, MIDI, and other creative content you produce using VIXSOUND. We claim no rights, ownership, or interest in your creative output. This applies to all subscription tiers, including during free trials.

Commercial Use & Royalties

You are free to use, distribute, release, sell, license, and commercially exploit any music you create with VIXSOUND without restriction. No royalties are owed to VIXSOUND. No attribution to VIXSOUND is required. You may release music on streaming platforms (Spotify, Apple Music, YouTube, etc.), license it for film, television, games, and advertising, sell beats, or use it for any other lawful commercial purpose.

Why This Is Clear

VIXSOUND generates MIDI data — musical instructions that your own instruments, plugins, and DAW render into sound. The AI acts as a creative tool under your direction. You choose the instruments, shape the arrangement, and make the creative decisions. This makes your role as the creator unambiguous.

Our Software

The VIXSOUND application, website, documentation, and all associated intellectual property remain owned by Vesta Creative Innovations LLC. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to use the software for its intended purpose during your subscription period.

7. AI-Generated Content

VIXSOUND uses AI models (provided by Anthropic) to generate suggestions, MIDI patterns, and text responses. You should be aware that:

• AI output may not always be accurate, original, or suitable for your needs
• You are responsible for reviewing and modifying AI-generated content before use in a production or commercial context
• The AI generates MIDI data (musical note sequences), not audio recordings, which significantly reduces copyright risk compared to AI tools that generate full audio
• We do not guarantee that AI-generated content is error-free or that it will meet your specific requirements

AI Conversations & Data Handling

Your conversations with the AI are processed in real time to generate responses and are not stored on our servers. Messages are sent to Anthropic's API for processing and are subject to Anthropic's Privacy Policy. Anthropic does not use API inputs or outputs to train its models.

• Conversations are stored locally on your device only and are never uploaded to VIXSOUND or any third party
• We do not log, record, monitor, or retain the content of your AI conversations
• Your conversations are not used to train, fine-tune, or improve any AI models — by VIXSOUND or Anthropic
• We have no access to the content of your prompts, the AI's responses, or any creative decisions made during your sessions
• If you submit a support report from within the app, your conversation history is shared voluntarily and only for the purpose of diagnosing the reported issue

Limitation of Responsibility for AI Output

VIXSOUND acts as an intermediary between you and the AI model. We do not control, curate, or pre-approve the AI's responses. Vesta Creative Innovations LLC is not responsible for the accuracy, quality, originality, or appropriateness of any content generated by the AI. You use AI-generated content at your own discretion and risk. This includes, but is not limited to, MIDI patterns, chord progressions, arrangement suggestions, mixing advice, and any text responses provided during your sessions.

8. Privacy & Data

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. Key points: your audio files never leave your computer, we do not store your conversations, and we never use your data to train AI models.

9. Third-Party Software

VIXSOUND integrates with Ableton Live, which is a product of Ableton AG. VIXSOUND is an independent product and is not affiliated with, endorsed by, or sponsored by Ableton AG. Use of Ableton Live is subject to Ableton's own terms and license agreement. You are responsible for ensuring you have valid licenses for any third-party software you use with VIXSOUND.

10. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. To the maximum extent permitted by applicable law, Vesta Creative Innovations LLC and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, revenue, profits, or business opportunities, arising from your use of the Service. Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Vesta Creative Innovations LLC from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Service Availability

We strive to keep VIXSOUND available at all times but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We reserve the right to modify, discontinue, or add features at any time with reasonable notice.

13. Termination

We may suspend or terminate your account if you violate these Terms. You may delete your account at any time by contacting us at hello@vixsound.com. Upon termination, your right to use the Service ceases immediately, but you retain ownership of all music and content you created during your subscription. Sections regarding intellectual property, limitation of liability, indemnification, and governing law survive termination.

14. Dispute Resolution

Any dispute arising from these Terms or your use of the Service shall first be resolved through good-faith negotiation. If a resolution cannot be reached within 30 days, the dispute shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in the State of Florida, United States. You agree to waive any right to participate in a class action lawsuit or class arbitration.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you may cancel your subscription before the new terms take effect.

17. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and VIXSOUND regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
